Terms of Service

1. About these terms

These Terms of Service (the "Terms") govern your access to and use of the Respite macOS application (the "App"), the getrespite.app website (the "Site"), and the licensing, activation, and update services we provide (together, the "Service"). The Service is operated by Olent (the "Operator", "we", "us"), based in Sydney, Australia.

By downloading, installing, or using the App, by purchasing a license, or by using the Site, you agree to these Terms and to the End User License Agreement (the "EULA") set out in Section 7. If you do not agree, do not use the Service.

2. The Service

Respite is a macOS menu bar application that reminds you to take breaks. The Service includes a free trial period of 14 days, after which a paid license is required for continued use of the App.

We may add, modify, or remove features over time. We may release the Service in stages and may impose limits on certain features or restrict access to parts of the Service without notice or liability.

3. Eligibility

The Service is not directed to anyone under 16. By using the Service you represent that you are at least 16 years old, or the minimum digital-consent age in your jurisdiction, whichever is greater.

4. Pricing, payment, and renewals

Respite is sold as a one-time purchase of $36 which includes 1 year of updates from the date of purchase (the "Updates Window"). After the Updates Window ends, the version of the App you have installed continues to work indefinitely, but new updates require a paid renewal.

Renewal of the Updates Window is optional and currently priced at $24 per year. Each renewal is a one-time payment that extends your Updates Window by one year. Renewal payments are not automatic and we do not auto-charge your card. You initiate each renewal yourself.

All prices are quoted in United States dollars (USD). Where we are registered to collect tax in your jurisdiction (such as GST, VAT, or sales tax), tax is calculated at checkout based on your billing address and added to the displayed price. Where we are not registered, no tax is collected and you may be responsible for self-assessing any applicable import or use tax under your local law. Business customers in the EU, UK, and Australia may provide a valid VAT or GST registration number at checkout for reverse-charge treatment where applicable. Payment processing is handled by Stripe; we do not store your card details.

5. Refund policy

Our refund policy is set out in detail at /refund-policy. When a refund is processed, the associated license is automatically revoked and any active device activations are released. Nothing in this Section or the refund policy excludes, restricts, or modifies any guarantee, right, or remedy you have under the Australian Consumer Law (ACL) or any equivalent consumer-protection law that applies to you, including the statutory right of withdrawal available to consumers in the EU and UK for distance contracts for digital content.

6. Acceptable use

You agree not to: (a) reverse-engineer, decompile, or attempt to extract source code from the App except to the extent expressly permitted by law; (b) redistribute, resell, sublicense, rent, or lease the App or your license key; (c) share your license key or use someone else's; (d) circumvent or attempt to circumvent the licensing system; (e) abuse the licensing or release APIs (for example, automated key generation, brute-force activation attempts, or excessive release requests); (f) use the Service to violate any applicable law or to infringe the rights of others.

7. End User License Agreement (EULA)

Acceptance. By installing and using the App, you accept the EULA terms in this Section. The App will request your acceptance during onboarding, and again on subsequent launches if we publish material changes.

License grant. Subject to your compliance with these Terms and your payment of the applicable fee (or while a valid trial is in effect), we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on up to two (2) macOS devices that you own or control, for your personal or internal business use.

Free trial. The App includes a 14-day free trial with full feature access. The trial state is recorded locally on your Mac. Reinstalling the App or attempting to reset trial state does not extend the trial.

Updates entitlement. Your purchase entitles you to all App updates released within the Updates Window. After the Updates Window ends, the App continues to function on the version you have installed. New updates require a paid renewal of the Updates Window. We do not promise any particular release cadence or feature roadmap during the Updates Window.

Activations and seats. Each license activates on up to two (2) devices. You may release a device from your license via the email-based release flow on the Site. Excessive activation or release activity may be rate-limited or investigated for abuse.

Ownership. The App, the Site, and all related intellectual property are owned by us or our licensors. These Terms grant you no ownership rights. The Respite name and logo are our trademarks.

Termination of license. Your license terminates automatically if you breach these Terms or the EULA. We may revoke a license for fraud, payment chargebacks initiated without first contacting us, key sharing, or other abuse. On termination you must stop using the App.

Open-source notices. The App may include third-party open-source components. Their license notices, where applicable, are listed inside the App.

8. Third-party services

The Service relies on third-party providers; how they handle your data is set out in our Privacy Policy.

9. Disclaimer and consumer rights

To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or quiet enjoyment. We do not warrant that the Service will be uninterrupted, error-free, or that any defect will be corrected.

Australian Consumer Law. Nothing in these Terms excludes, restricts, or modifies any guarantee, condition, warranty, right, or remedy under the ACL (including the consumer guarantees in Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any equivalent consumer-protection law that applies to you and that cannot lawfully be excluded. Where a consumer guarantee applies and we are entitled to limit our liability, our liability is limited, at our option, to (a) repair or replacement of the App, (b) the supply of equivalent goods or services, or (c) the cost of resupply.

EU and UK consumers. If you are a consumer resident in the European Union, the United Kingdom, or another jurisdiction with mandatory consumer-protection rules, nothing in these Terms limits your statutory rights under those rules, including (where applicable) the EU Consumer Rights Directive 2011/83/EU, the UK Consumer Rights Act 2015, and the UK Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.

Respite is a productivity tool. It is not a medical, therapeutic, or safety device, and you should not rely on it for any health-related decision.

10. Limitation of liability

To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or anticipated savings, even if we have been advised of the possibility of such damages. This Section does not limit liability that cannot lawfully be limited, including under the ACL.

11. Indemnity

You agree to indemnify, defend, and hold harmless the Operator from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or connected with: (a) your breach of these Terms or the EULA, (b) your misuse of the Service, or (c) your violation of any law or the rights of any third party.

12. Suspension and termination

We may suspend or terminate your access to all or any part of the Service at any time, with or without notice, for breach of these Terms or for any conduct that we determine, in our reasonable judgment, harms the Service or other users. You may stop using the Service at any time by uninstalling the App.

13. Governing law and disputes

These Terms are governed by the laws of New South Wales, Australia, without regard to its conflict-of-laws principles. The courts of New South Wales have non-exclusive jurisdiction over any dispute. If you are a consumer resident in another country, you also benefit from any mandatory consumer-protection rules of the country in which you reside.

14. Copyright complaints

We respect the intellectual property rights of others. If you believe content on the Site or in the Service infringes your copyright, send a written notice to support@getrespite.app identifying (a) the copyrighted work claimed to have been infringed, (b) the material claimed to be infringing and its location, (c) your contact information, (d) a statement that you have a good-faith belief the use is not authorised, and (e) a statement, under penalty of perjury, that the information in the notice is accurate and that you are authorised to act on behalf of the copyright owner. We will respond promptly and may remove or disable access to allegedly infringing material.

15. Export controls and sanctions

You agree to comply with all Australian, United States, and other applicable export-control and sanctions laws in connection with your use of the Service. You represent that you are not located in, ordinarily resident in, or a national of a country or region subject to comprehensive sanctions, and that you are not on any applicable government list of restricted parties. You may not use the Service to export, re-export, or transfer the App in violation of those laws.

16. Changes

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Material changes that affect existing license holders will be notified by email to the address associated with the license. Continued use of the Service after changes constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms together with the Privacy Policy and Refund Policy are the entire agreement between you and us regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them as part of a sale of the business.
